Terms of Service
These Terms are a binding contract between you and the operator of NeuropackLens. They explain what the Service does, what you may and may not do with it, how billing works, and how risk is allocated between us. Please read sections 28 and 29 carefully — they limit our liability.

1. The agreement
These Terms of Service (the "Terms") govern your access to and use of NeuropackLens, including our website, web application, reports, concept sketches, in-app assistant and any related services (together, the "Service" or the "Platform"). The Service is operated by Nitid Studio, LLC, Texas SOS filing number 805012266, with registered address at 5900 Balcones Drive, STE 100, Austin, TX 78731, United States ("we", "us", "our").
By creating an account, purchasing a plan, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
2. Definitions
- "Input" — any image, PDF, document, text, brief, prompt, product description or other material you submit to the Service.
- "Output" — any material the Service returns to you, including analysis reports, strengths, weaknesses, recommendations, confidence scores, citations, concept sketches, generated images, exports and assistant replies.
- "Analysis" — one complete evaluation run, which consumes one unit of your plan allowance or one purchased credit.
- "Credit" — a unit of Analysis capacity granted by a plan allowance or purchased as a one-time analysis pack.
- "Account" — the registered user profile through which you access the Service.
3. Eligibility & accounts
- You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an Account. The Service is not directed at children.
- You must provide accurate registration information and keep it current. Accounts are personal to the registered user; credentials may not be shared, sold or transferred.
- You are responsible for all activity under your Account and for keeping your credentials secure. Notify us immediately at legal@neuropacklens.com if you suspect unauthorised access. We send a security notification to the address on file whenever your password is changed.
- We may refuse registration, or close an Account, where required by law or where these Terms have been breached.
4. What the Service does
The Service evaluates marketing and packaging creative. You submit an image or document; the Service analyses it using third-party artificial-intelligence models, retrieves related findings from a curated corpus of academic literature, and returns a structured, evidence-referenced report. Depending on your plan, it may also generate a concept sketch illustrating the recommendations, answer follow-up questions, and provide an in-app assistant for product and account help.
The Service is an informational and decision-support tool. It does not make decisions for you, does not perform testing on real consumers, and does not verify facts about your product, market or regulatory position.
5. Your content & the licence you grant
You keep ownership
As between you and us, you retain all right, title and interest in your Input. We claim no ownership of it.
Licence to operate the Service
You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, reformat and process your Input and Output solely to the extent necessary to provide, secure and support the Service for you, and to comply with law. This licence includes transmitting Input to the sub-processors listed in our Privacy Policy. It ends when the relevant content is deleted, subject to routine backup cycles.
We do not train models on your content
We do not use your Input or Output to train, fine-tune or improve any artificial intelligence model, ours or a third party's, and we do not sell, licence or publish your Input or Output.
Your warranties
By submitting Input, you represent and warrant that:
- you own it or hold all rights, licences, consents and permissions necessary to submit it and to have it processed as described in these Terms;
- doing so does not infringe any copyright, trademark, trade secret, publicity, privacy or other right of any third party, nor breach any confidentiality or contractual obligation you owe;
- it contains no personal data beyond what is reasonably necessary, and no special categories of personal data (health, biometric, government identifiers), no payment card data, and no material subject to sector-specific regimes (for example HIPAA protected health information) — the Service is not designed or certified for such data;
- it complies with applicable law and with section 12 below.
6. Output: ownership & limits
- Subject to your compliance with these Terms and to payment of applicable fees, we assign to you whatever rights we may hold in the Output generated for you, so you may use it for your internal and commercial purposes.
- Output is not exclusive. AI systems generate similar responses to similar inputs. Other users may receive Output that is similar or identical to yours, and we retain the right to generate such Output for them.
- We do not warrant that Output is free of third-party rights. Generated imagery in particular may unintentionally resemble existing works, marks or trade dress. Clearance is your responsibility (see section 8).
- Output may be derived in part from the structure and content of your Input; where your Input infringes a third-party right, the corresponding Output may too.
- You may not present Output as human expert opinion, as certified research, or as a regulatory, clinical or legal determination.
7. Nature of AI output
- Citations are retrieved and summarised automatically. A cited source may be mischaracterised, applied outside the population or context it was studied in, or attached to a claim it does not support. Consult the underlying publication before relying on a finding.
- Confidence scores are internal heuristics. They express the system's own estimate, not statistical significance, external validation, or a probability of commercial success.
- The research corpus is curated and finite. Absence of evidence in a report is not evidence that no relevant research exists.
- Outputs are not deterministic: identical Input may produce different Output on different runs.
8. Concept sketches & design clearance
Concept sketches and AI-generated images are marked "Concept only". They are directional prototypes intended to illustrate recommendations — not production artwork, not dielines, and not print-ready files.
You are solely responsible for obtaining all intellectual-property clearances, trademark and design searches, and regulatory approvals before using any design derived from or inspired by Output in any commercial context. We assume no liability for design conflicts, trademark or trade-dress infringement, or regulatory non-compliance arising from your use of concept sketches.
Sketch generation depends on third-party image models and may be unavailable, delayed, or may decline to produce an image for content-policy reasons. Where a sketch cannot be produced, the underlying analysis is still delivered and the Analysis is still consumed.
9. Not professional advice
All Output is provided for informational and design-evaluation purposes only and does not constitute legal, regulatory, medical, nutritional, financial, or professional advice, and creates no professional relationship of any kind.
The Service does not provide labelling compliance review, health-claim substantiation, ingredient or allergen review, or advice on any labelling regime (including FDA, EFSA, COFEPRIS or equivalent). For those matters, consult a qualified professional in the relevant jurisdiction.
10. Regulated & sensitive categories
Certain product categories — including pharmaceuticals, supplements and nutraceuticals, medical devices, cannabis and CBD, infant and baby products, and products carrying health, weight-loss or therapeutic claims — are subject to strict regulation. Where the Service detects such a category it surfaces an in-product warning.
You must not rely on the Service for any compliance, safety or health-claim decision in these categories. You remain solely responsible for regulatory review by qualified counsel or regulatory affairs professionals. We disclaim all liability arising from use of Output in connection with regulated categories.
11. No guaranteed outcomes
The Service provides evidence-referenced evaluation. It does not guarantee any commercial result — including sales, shelf performance, conversion, brand lift, consumer preference or retailer acceptance — and does not replace consumer research, market testing, qualitative validation or professional brand consulting. Research findings describe population-level tendencies observed in specific study conditions; they may not transfer to your product, category, channel or market.
12. Acceptable use
You agree not to, and not to permit anyone else to:
- submit content that is unlawful, infringing, defamatory, hateful, harassing, sexually explicit, or that depicts or exploits minors;
- submit third-party material you are not authorised to submit, including competitor assets under NDA, leaked designs, or personal data of others without a lawful basis;
- use the Service to develop, train, benchmark or improve a competing product or model; or to systematically extract, scrape or reconstruct the research corpus, prompts, rankings, model configuration or any part of the Service;
- attempt to obtain the underlying prompts, system instructions, credentials or corpus content through the assistant or any other interface, or to circumvent its guardrails;
- resell, sublicense, rent, or provide the Service to third parties as a service bureau, or share one Account across multiple people or organisations, except through a Team or Enterprise plan;
- probe, scan, overload, rate-limit-evade, reverse engineer, decompile, or interfere with the Service or its infrastructure, or bypass metering, quotas, paywalls or access controls;
- use automated means to access the Service except through interfaces we expressly provide;
- misrepresent Output as independently validated research, as human expert opinion, or as our endorsement of a product or claim.
We may investigate suspected violations and take any action we consider appropriate, including removing content, suspending the Account, and reporting to authorities.
13. Plans, credits & usage limits
- Each plan includes a stated number of Analyses per billing period, and a defined feature set (research sources, concept sketch, follow-up questions, exports). Current plan details and prices are shown on the pricing page and control over any other description.
- Plan allowances reset each billing period and do not roll over. Unused monthly Analyses expire at the end of the period.
- Analysis packs are one-time purchases that add Credits on top of your plan allowance. Purchased Credits do not expire and are unaffected by a plan change, but they are non-transferable and, except as set out in section 15, non-refundable once used. Pack pricing is tiered by plan; the price shown at checkout is the price charged.
- An Analysis is consumed when the evaluation run begins. Because model costs are incurred immediately and irreversibly, a consumed Analysis is not restored merely because you disagree with the Output. Where a run fails due to a fault on our side, contact support and we will restore the Credit.
- We may apply reasonable rate limits, file-size limits (currently 10 MB per upload), supported-format restrictions, and anti-abuse controls, including on plans described as unlimited, to protect service stability.
14. Billing, renewal & taxes
Payments are processed by Stripe. We do not receive or store full payment card numbers. By purchasing, you additionally agree to Stripe's terms as they apply to your payment.
- Authorisation and auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current rate, and your payment method is charged automatically, until cancelled.
- Plan changes. A plan change takes effect immediately, is charged at the full price of the new plan, and starts a new billing period. Day-based proration is not applied, and unused time on the previous plan is not credited. This is disclosed at the moment of change; review it before confirming.
- Failed payments. If a charge fails we will notify you and may retry. Access to paid features may be suspended or downgraded until payment succeeds.
- Taxes. Prices are exclusive of VAT, sales tax, IVA, withholding and similar taxes unless stated otherwise. You are responsible for all such taxes other than taxes on our net income.
- Price changes. We may change prices. Changes apply to renewals occurring at least 30 days after we notify you at the email address on file; you may cancel before the change takes effect.
- Currency and fees. Charges are in the currency shown at checkout. Bank, conversion and cross-border fees are yours.
15. Cancellation & refunds
Cancelling a subscription
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period: you keep access until then, and you are not charged again. Deleting your account cancels any active subscription immediately.
Self-service refund window
A purchase can be refunded by you, without contacting us, only while both of the following are true:
- less than 10 minutes have passed since the payment; and
- nothing the payment granted has been used — no Analysis run, no Credit spent.
Both conditions are required. Once an Analysis has been run, the underlying model costs have been incurred and the report cannot be un-read, so the purchase is no longer self-service refundable.
Outside the window
Outside that window, fees are non-refundable except where required by law. We nonetheless review genuine billing errors — duplicate charges, charges after cancellation, or a failure on our side that prevented delivery — in good faith. Contact legal@neuropacklens.com with the transaction details.
Effect of a refund
When a payment is refunded, whatever it granted is reversed: Credits it added are withdrawn (a balance may go to zero) and plan access it purchased ends. Refunds are returned to the original payment method.
16. Chargebacks & payment reversals
Please contact us before disputing a charge with your bank — most issues are resolved faster directly. If a chargeback or payment dispute is opened, we may immediately suspend or revoke access and withdraw Credits associated with the disputed payment while the dispute is pending, and may decline future service. Fraudulent disputes may be pursued as a breach of these Terms.
17. Free plan & beta features
- The free plan is provided for evaluation, is limited in scope and volume, and may be modified, limited or discontinued at any time without notice.
- Features labelled beta, preview or experimental are provided as is, may change or be withdrawn, may be less reliable, and are excluded from any commitment we make elsewhere.
- Promotional, complimentary and internal access may be revoked at any time and carries no refund entitlement.
18. Team & Enterprise accounts
- Enterprise members draw Analyses from a shared pool administered by their organisation's administrator, rather than from an individual monthly allowance.
- An organisation's administrator can manage membership and see group usage and consumption attributed to members. If your Account is part of an organisation's group, that organisation controls it and may add or remove members and access group-level records. Use a personal account for personal material.
- An Enterprise user who is not assigned to a group cannot run Analyses until an administrator assigns one.
- Where a separate written agreement, order form or data processing agreement is executed with an organisation, that agreement prevails over these Terms to the extent of any conflict.
19. Third-party services
The Service depends on third parties for AI processing, hosting, storage, email, payments and abuse prevention. These are identified in our Privacy Policy. We select them with reasonable care and bind them contractually, but we do not control them and are not responsible for their acts, outages, model changes, content policies or pricing. A third-party outage may degrade or interrupt the Service.
20. Academic research & citations
The Service references academic research by citation only — author, year, title, publication, section and DOI where available. Findings are paraphrased. We do not reproduce or redistribute copyrighted figures, tables, or full article text, and we do not distribute PDFs. Citations link to publisher pages.
Citations are provided for verification and attribution. They do not imply endorsement of the Service, your product or your claims by any author, institution or publisher. Rights holders who believe material has been used improperly should contact legal@neuropacklens.com.
21. Copyright & IP complaints
If you believe content on the Service infringes your rights, send legal@neuropacklens.com a notice including: identification of the work; the URL or location of the material; your contact details; a statement that you have a good-faith belief the use is unauthorised; a statement that the information is accurate and that you are authorised to act; and your signature. We remove or disable access to material that is the subject of a valid notice and terminate repeat infringers.
22. Our intellectual property
The Service — including its software, interfaces, prompts, methodology, taxonomy, retrieval and scoring systems, corpus selection and curation, design, and the NeuropackLens name and marks — is owned by us or our licensors and protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service as permitted here, and nothing more. All rights not expressly granted are reserved.
23. Feedback
If you send us suggestions, ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction, attribution or compensation. Feedback is not confidential.
24. Confidential & unreleased assets
We treat your Input as confidential: it is isolated per user by row-level access controls, encrypted in transit and at rest, served through short-lived signed links rather than public URLs, and accessible internally only where necessary to operate or support the Service, investigate abuse, or comply with law.
Nonetheless, if you upload material subject to an NDA or other confidentiality obligation, you do so at your own risk and must satisfy yourself that transmission to the sub-processors listed in our Privacy Policy is permitted by that obligation. No system is perfectly secure. For highly sensitive pre-launch work, consider redacting identifying elements before upload.
25. Data protection & retention
Our handling of personal data is described in the Privacy Policy. In summary:

You control this. Any individual analysis can be deleted from the product at any time, which also removes its stored images. You may delete your Account at any time from account settings; deletion cancels any active subscription and removes your profile, analyses, assets and assistant history, subject to records we must retain by law.
We reserve the right to delete stored content from Accounts that have been inactive for more than 24 months, after giving notice to the email address on file. We are not a backup or archival service: keep your own copies of anything you cannot afford to lose, using the export function.
26. Availability, changes & support
We aim for continuous availability but do not commit to any uptime level, response time or support SLA unless agreed in a separate written Enterprise agreement. The Service may be unavailable for maintenance, updates, third-party outages or events beyond our control.
We may add, modify, deprecate or remove features, models, plans and limits. Where a change materially reduces the core functionality of a paid plan, we will give reasonable notice to the email on file; your remedy is to cancel, and, where a prepaid period is cut short by us, a pro-rata refund of the unused prepaid portion.
27. Suspension & termination
- You may stop using the Service and delete your Account at any time.
- We may suspend or terminate access, with or without notice, if you breach these Terms, if we reasonably suspect fraud, abuse, security risk or unlawful use, if payment fails or is reversed, or if required by law.
- We may also discontinue the Service as a whole with at least 30 days' notice, in which case we will refund the unused prepaid portion of any active subscription.
- On termination, your licence to use the Service ends and remaining Credits and allowances are forfeited, except where the termination is by us without cause. Sections 5–12, 15, 16, 20, 22–24 and 27–36 survive termination.
28. Disclaimer of warranties
To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or quiet enjoyment.
Without limiting that, we do not warrant that the Service will be uninterrupted, secure or error-free; that Output will be accurate, complete, current, reliable, novel, or free of third-party rights; that citations will be correctly characterised; or that any result, commercial or otherwise, will be achieved. No advice or information obtained from us or the Service creates any warranty not expressly stated here.
29. Limitation of liability
To the maximum extent permitted by applicable law:
- we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost revenue, lost sales, loss of goodwill, loss of data, business interruption, cost of substitute services, product recalls, rebranding or repackaging costs, or regulatory fines, however caused and under any theory of liability, even if we have been advised of the possibility;
- our aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the total fees you actually paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, and (b) USD 100;
- we are not liable for any decision you make, or refrain from making, based on Output, nor for your use of concept sketches, nor for third-party services on which the Service depends.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or gross negligence or wilful misconduct. These limitations apply even if a limited remedy fails of its essential purpose, and reflect an agreed allocation of risk that is a basis of the pricing of the Service.
30. Indemnification
You will defend, indemnify and hold harmless Nitid Studio, LLC and its officers, employees and contractors from and against any third-party claim, demand, proceeding, loss, liability, damage, fine or expense (including reasonable legal fees) arising out of or related to: (a) your Input; (b) your use of Output, including in packaging, advertising or any commercial launch; (c) your breach of these Terms or of applicable law; (d) your infringement or misappropriation of any third-party right; or (e) any dispute between you and a third party, including your clients, employer or organisation.
We will notify you of any such claim, and you may control the defence provided that any settlement affecting our rights requires our prior written consent, not to be unreasonably withheld.
31. Export control & sanctions
You represent that you are not located in, ordinarily resident in, or acting on behalf of any person in a country or territory subject to comprehensive sanctions, and that you are not listed on any restricted-party or sanctions list. You will not use or export the Service in violation of applicable export control or sanctions laws.
32. Governing law & disputes
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before starting proceedings, you agree to contact us at legal@neuropacklens.com with a description of the dispute and the relief sought, and to negotiate in good faith for at least 30 days.
No class actions. To the extent permitted by law, disputes must be brought individually and not as a plaintiff or class member in any purported class, consolidated or representative action.
Any claim must be brought within one (1) year of the date it arose, or be permanently barred, except where a longer period is required by law.
33. Consumer rights
If you use the Service as a consumer, nothing in these Terms removes any mandatory right you have under the consumer protection law of your country of residence — including statutory withdrawal or cooling-off rights and mandatory legal guarantees — and you retain the right to bring proceedings in the courts of your place of residence where local law so provides. Where you expressly request immediate performance of a digital service and acknowledge losing the right of withdrawal on full performance, that acknowledgement applies once an Analysis has been run.
34. Changes to these Terms
We may update these Terms. The current version is always posted here with a "Last updated" date. For material changes we will give reasonable advance notice — by email to the address on file, in-product notice, or both — before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept a change, stop using the Service and cancel before the effective date.
35. General provisions
- Entire agreement. These Terms and the Privacy Policy (plus any executed order form or enterprise agreement) are the entire agreement between us on this subject and supersede prior discussions, proposals and marketing statements.
- Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the remainder stays in force.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including infrastructure or third-party AI provider outages, cyber-attacks, natural events, war and government action.
- Notices. We give notice by email to the address on your Account or by in-product notice; you give notice to legal@neuropacklens.com. Notices are effective on sending.
- Independent parties. No agency, partnership, joint venture or employment relationship is created by these Terms.
- Language. These Terms are drafted in English. Any translation is provided for convenience; the English version prevails except where local law requires otherwise.
